Preface

“I slept on it for a night and then decided that it is a good fit.”

Saturday, 9 May, 8.33 am. I get a WhatsApp with his picture in a GB Steel Group shirt. He wears clogs and he has a haircut like he is ‘just-back-from-a-10-km-run-in-50-minutes’. The picture was taken by his wife in their backyard.

The app is symbolic for so many reasons. The day before I made a deal with him; the acquisition of Machinefabriek Emmen by GB Steel Group has been sealed. A year ago, we drank our first cup of coffee together. Last year we saw each other quite often and had many talks. We kept it silent, weighed up the pros and the cons and then made a decision.

And then came the coronavirus. We thought the deal over and over again and … decided. It has been an intense process in which we got to know each other well, businesswise and personally. We talked about personal motives, about camping holidays in Italy, and about running. Not necessarily relevant to a business transaction such as an acquisition, you would think.

Would you think so? Looking at the picture, all those thoughts are coming to mind. It is typical of the company he will become part of. We are ordinary people. We are working on ever larger projects for large international clients. Our organisation is growing. Also in 2019, both turnover and profit increased. At the same time, we remain true to ourselves and we do what we say. That is the strength of our company. That is why clients, engineering consultancies, steel traders, software suppliers, banks and trainers like working with us. It is why we are successful. This preface is therefore not about our performance, but about why we achieved these results.

It is also why Derk Jan Weeke is happy to join our family business with his MF Emmen. He does not have to pretend to be someone else. He can be himself, in clogs and with tousled hair. It is a good fit. Yes, that shirt I gave him as a present, too. But that is not what he meant. He feels at home with us and is confident that this will also apply to all the other 65 employees of MF Emmen. Fortunately, he was right, and we are now going to live up to that confidence! 

The success of 2019 was due to that sincere way of working together with many partners. Not only the technical experience matters, but also the understanding that you gain by getting to know each other and each other’s points of view. It is why you come to certain choices. That is what cooperation is all about. That you achieve exactly what you have in mind as a team. It is how we meet all the challenges and take on projects at GB Steel Group. The group originates from the formation of Kampstaal, 40 years ago. Kampstaal is a household name in steel constructions for non-residential construction and industry. In the Netherlands and far beyond, Kampstaal supplies complex supporting structures for car parks, data centres and other non-residential structures, possibly supplemented by Kamplacon roof and façade structures. But we also produce stairs, platforms and structures for our electricity network at our locations in Emmeloord and Meppel. Regular and new clients appreciate Kampstaal for its high-quality constructions, reliability, flexibility and experienced project management. In 2019 Kampstaal’s projects included the circular car parks near Dierenpark Amersfoort and the TU Delft, and data centres around Amsterdam.

Façades and roofs, possibly supplemented by solar panels, are the domain of Kamplacon. With an enthusiastic and experienced team of mechanics, engineers and project leaders Kamplacon is active in the construction of data centres, distribution centres and other non-residential constructions. Kamplacon can significantly speed up construction by using prefabricated façades. This will allow the user to use the building sooner, with the associated competitive advantages. Moreover, prefabricated construction is completely modular and can be disassembled, it has the advantages of circularity, and the quality is higher because the panels are produced in an indoor climate. Together with Kampstaal, Kamplacon is also increasingly taking on the complete construction of foundations, steel and cladding. As a result, building management is simpler for the client, allowing him to focus on his normal day-to-day management. An example of comprehensive construction in 2019 is De Groene Agri in Rutten. Other projects in 2019 included Noblesse in Wijster and several data centres around Amsterdam. And of course we provided a lot of roofs with solar panels in 2019 as well.

Vossebelt designs and produces tippers, containers and belt unloaders for the transport sector and public authorities. More and more clients appreciate Vossebelt for its high level of customized design. Sales have more than doubled in five years. The robust tippers are built for everyday transport of asphalt, sand, gravel or rubble. They tip over backwards and/or sideways and may or may not be assembled with crane and cover systems. Need to unload horizontally instead of tipping over? That can be done by using Vossebelt’s band unloaders. They allow the transporter to increase the working area by unloading safely under matrix boards, in tunnels and under viaducts without tipping. For the small asphalt renovation jobs Vossebelt has a hot container in its product range. Finally, containers, both conventional and lightweight, are available in all shapes and sizes and can often be delivered from stock. Vossebelt continues to build its future with robotized production technology, with which tailor-made work can be welded efficiently. Large and heavy constructions are right up Nauta Heeg’s street. With an indoor hoisting capacity of up to 80 tonnes, a preserver nearby and a location near large waterways, Nauta can take on big jobs. As a result of this and in combination with years of experience in the field of welding, Nauta Heeg is excellently equipped to produce bridges, locks, braking works and other heavy constructions. Besides for infrastructure, many clients from the industry also choose Nauta as a production partner. Heavy tanks for the offshore or process industry, tower constructions for seaports and platforms are expertly assembled in the halls in Heeg. In 2019, Nauta worked, among other things, on a 140-tonne dock gate for the new shipyard of De Vries in Makkum and on an beautiful bicycle bridge in Oirschot. The industry was also served in 2019, for example with this sizeable water tank.

Meet a new asset within our family business as of 2020! With the acquisition of Machinefabriek Emmen, GB Steel Group confirms its ambitions in the field of bridge and lock construction. MF Emmen’s expertise in environmental technology also fits in perfectly with our sustainability objective. Since 1924, the company has won its spurs in the metal industry and mechanical engineering, originally under the name Machinefabriek Hidding. It developed an expertise in civil engineering technology by building bridges and locks. Also in the field of recycling MF Emmen is a strong player with products such as drum screens and air separators. With its extensive production plant, MF Emmen is also active for customers in the industry, ranging from energy to food technology. Large projects have been carried out throughout the Netherlands but also internationally, such as a recycling plant for Deco in central Italy, a road bridge in Workum and a turnstile cable stayed bridge near Rijswijk. In 2019, MF Emmen added the Ganzensluis in Kampen and a production line for Noblesse in Wijster to its references.

Board of directors

Although these companies operate under their own name and are also operationally managed independently, cooperation and synergy within GB Steel Group is an increasingly important theme. This is how we efficiently invest in the future, with spearheads such as automation, talent development, sustainability and expanding our services for customers. GB Steel Group is managed by a management team consisting of the division directors, a group controller and a general manager. In order to ensure continuous growth, a three-man board of directors was formed at the end of 2019 over and above the management team, which, besides Bob Soetekouw as the managing director of GB Steel Group, consists of Rieks Jansen as the commercial director and Wouter Faber as the technical director of GB Steel Group. Rieks Jansen will mainly focus on exploiting synergy on a commercial level and Wouter Faber will coordinate the technical innovations within the group.

the financial year

We look back on the results of 2019 with satisfaction. After the successful years ’16, ’17 and ’18, the objective was to maintain those results. The filled order book increased the group’s confidence. This ambitious objective was nearly achieved. Sales rose slightly to almost 68 million euro and net earnings even increased. The favourable results achieved in recent years strengthened the group’s equity, leading to an increase in the group’s solvency of over 60%. It is true that the increase in equity slightly reduced the profitability compared to 2018, but at 25% it was still above average compared to the overall industry average. The favourable results and the thorough investment policy also ensured a healthy cash flow and liquidity position. As can be seen, for example, from the current ratio the results make the group a very strong player in the construction, transport and machinery industry.

Within the group, too, the earnings of all divisions were very solid. Kampstaal and Kamplacon were responsible for the largest share of the turnover with steel construction and cladding. The results of these companies in 2019 were even slightly better than 2018, both in terms of turnover and earnings. Turnover was frequently achieved through cooperation with existing clients. After a successful collaboration, they are also happy to carry out the follow-up assignment together. Nauta’s results in infrastructure and industry were also excellent throughout the year.

However, we found that the order intake during the year was erratic, which we blame on the PFAS and nitrogen problems. This uncertainty weighed on the capacity result. The fact that the result was nevertheless good was partly due to collaboration and capacity utilization within the group. Peaks and troughs in planning could be smoothed out better. Finally, Vossebelt made an excellent contribution to the group with yet other strong growth in sales. Continuous development of the organisation lead to an increase of the net margin this year as well.

Investments 2019

In 2019, the group invested mainly in buildings, machinery and the car fleet. No new loan capital was raised for this.

Nauta Heeg and Vossebelt

In Heeg a stylish architect-designed new office building was built, with plenty of room for future plans in the field of infrastructure and industry. Not only does the office offer more space, but above all it has become a very pleasant place to work. In order to further flesh out Nauta’s plans for the future, an extensive 3D cutting-drill was acquired. The production of various large and heavy constructions requires precise pre-treatment of thick sheet-metal work, pipes and other profiles. The new machine is able to cut and drill these profiles in all angles. We avoid unnecessary welding and the production process is therefore more efficient.

In addition, Nauta and Vossebelt have jointly invested in a welding robot installation which was put into operation at Vossebelt in Geesbrug in the beginning of 2020. With modern offline programming software, the installation is ideally suited to automatically weld single pieces and small series of semi-finished products.

Kampstaal

Kampstaal purchased a new sawing machine that will further increase its sawing and drilling capacity. In addition, Kampstaal has invested in a grinding and deburring machine. Here too, the machine avoids manual grinding work later on in the process, which offers cost benefits in terms of health and safety.

Kamplacon

Kamplacon further renewed its folding machinery with the purchase of a new angle bending machine. With its own modern custom-folding plant, Kamplacon is able to supply various fitting pieces around doors, window frames and eaves just in time for its own construction projects and for various external clients. Sustainability is not just about talking, which is shown by the increase in the number of solar panels. At Kamplacon in Emmeloord and at Kampstaal in Meppel 1,116 solar panels were placed on the roofs and in a ground installation along the A6 motorway.
Finally, the car fleet has become more sustainable with the purchase of various electric and hybrid cars. In 2019 these and other investments resulted in a further reduction of CO2 emissions, which are now as much as 31% lower than 2015 while production increased by 48%.

Our objective is to emit 37% less CO2 in 2020 compared to 2015. At the end of 2019 we had saved 31%, while production increased by 48%. Normalized this means a 54% reduction. The saving is equivalent to the energy consumption of 78 households.

Our vision on trends
and market developments

In 2019 the environment and climate was a much-discussed topic. There is consensus within science; we will have to take drastic measures to prevent global warming and rising sea levels. Politicians respond to this with plans and policies, for example in the field of nitrogen emissions and PFAS pollution. And people in turn respond to that. In 2020, when this annual report was published, the coronavirus came on top of that. Solidarity is not self-evident in these times. When economic growth is no longer guaranteed either, uncertainty grows. How can we still live together in a sustainable way with the current level of population? Especially when nature makes itself felt, and challenges of this magnitude come our way, mankind will have to unite. This applies to the whole of society, but also to the business world.

Market developments

The PFAS and nitrogen problems, and the corona crisis in particular, are affecting the construction, machinery and transport sectors. The effect is not yet equally evident in all markets. Early in 2020, the non-residential construction market was still one of the sectors with above-average activity. Where other sectors were halted by corona, construction could continue with projects that had already been commissioned. Kampstaal’s and Kamplacon’s construction and construction supply activities can continue to be carried out well with a few appropriate measures. However, we expect that because of the uncertainty, new projects will not be started easily. These signs are already perceptible in industry. This is also the case in the supply chain to the transport sector, which has been severely disrupted by the closure of several companies. As a result, Vossebelt has lowered its production level, which means that the well-filled order book is now being carried out over a longer period of time.

Demand in the hydraulic engineering sector, Nauta’s playing field, had been lower for some time. This was due to the PFAS and nitrogen policy. The demand for infrastructure, however, is expected to rise if the government will invest in road construction in times of recession. Moreover, there was already a backlog of maintenance work on bridges and locks. In order to respond to this situation, GB Steel Group acquired MF Emmen in 2020, just before the publication of this annual report. With the acquisition the group confirms its ambitions in the field of bridge and lock construction and MF Emmen’s expertise in environmental technology also fits in perfectly with its sustainability objective.

Strategy

Economies of scale and synergy enable GB Steel Group to invest more efficient efforts into the future. That is why the group has set itself the goal of growing to the top of the Dutch manufacturing industry. For achieving this objective, cooperation, sustainability, talent management and automation are important pillars. Although economic growth is not self-evident in current times, growth in the sense of learning and development is always an issue. In a technical company, the emphasis usually tends to be on technological innovations. Of course, technology enables us to work on the finest projects every day. As in other companies, technology is always developing. Technical knowledge alone is not enough to meet these challenges and seize opportunities such as robotization and digitisation. Organising and innovation is about people. The social aspect of change is just as important as technical knowledge itself. That is why GB Steel Group not only focuses on development in technology, but also on people and organisation.

 

Within the organisation we work together in teams with people from various layers of the organisation. We discuss opportunities and challenges in HR, R&D or QHSE teams. This way we give substance to strategic plans that are discussed at management level. Plans are of course also reviewed by the Group Works Council, which helps to improve plans and create support. One of those plans is, for example, increasing safety. Working with steel and working in the construction industry is not without risks and within GB Steel Group there is a lot of focus on awareness and improvement in this area. There will be even more focus on this in the coming years.

We do not only apply the vision of social innovation and cooperation to ourselves. We also cooperate with others. In the chain, we work together in construction teams with suppliers and customers. Especially in the construction and customization industry, where each project is unique, the organisation and chain must be able to learn from their mistakes and work together on opportunities. This cooperation and mutual trust ensure that risk management is at a higher level, which benefits results throughout the chain. Again, our conviction is that we are not only working for our own interest; there is no ‘I’ in GB. Working together means learning to understand each other’s interests, passing the ball to each other, and eventually scoring together. Never change a winning team also applies in business; clients appreciate our way of working and are therefore happy to choose a long-term relationship.

We also collaborate in the region, with public authorities, schools and other training organisations. At GB Steel Group, we are convinced that the same interests often apply outside the organisation as well, and that by working smartly together, both the social environment and our own organisation will grow. For example, in 2019, together with other companies in the Northeast Polder, we founded the Innovatiecluster NOP, in which we join forces to interest and develop (future) talents, and to apply innovations together.

Sustainability

We can only manage this together. This does not only apply to the coronavirus, but also to the climate crisis. With CO2 reduction and sustainable building we contribute to sustainability. Anyone who chooses sustainability has a head start with steel. Girder steel is made of more than 80% recycled iron, and it is especially suitable for demountable building and thus for avoiding new construction. Do you remember the Lego® cubes, K’nex® or even Meccano® from your childhood? With Lego bricks you can build, rebuild and vary endlessly.

In buildings, steel also has this adaptability. Moreover, large spans of steel can be easily realised, allowing large spaces to be divided flexibly. Right from the design process, GB Steel Group likes to help you think how to enable longer, continued use of the building, even when function or need should change.

Outlook 2020

 

Although we started the year well, we are cautious about expectations. The order books for this year are well filled for most divisions, but new projects will not start soon due to the uncertain situation. In addition, margins will be under pressure. Nevertheless, GB Steel Group is fully committed to investments and its own developments according to the strategic plan. As the financial figures show, the group is very sound. That creates a lot of opportunities.

After moving into the new office in Heeg the next investment in buildings is scheduled. Together Kampstaal and Kamplacon are building a new production facility with office along the A6 motorway. As a result of an increasingly close cooperation on data centres, car parks and other non-residential construction projects, there was a need to further expand production possibilities. The high hall with heavy lifting capacity is suitable for the production of larger trusses, prefabricated façades and steel constructions.

In our automation team we are jointly gaining experience with the new robot installation in Geesbrug. Subsequently, we will use this experience for the continuation of our automation ambitions. Additional loan capital will be raised in order to realise our long-term ambitions and also to build up even more resilience. The liquidity position will then become even sounder than it already was.

MF Emmen’s design and production experience in infrastructure, recycling and industry fits in seamlessly with Nauta’s extensive production facilities in Heeg.

Expansion of services

In previous editions of our annual reports we already mentioned another ambition: with the maintenance of the Dutch bridges and locks, infrastructure is a market with a lot of potential. Ambitions are there to be realized, and GB Steel Group is very happy with the acquisition of MF Emmen just before the publication of this annual report. MF Emmen’s design and production experience in infrastructure, recycling and industry fits in seamlessly with Nauta’s extensive production facilities in Heeg.

In 2020, Nauta and MF Emmen will jointly start the renovation of the Follega bridge. We are the main contractor for the entire bridge, the electrical installations and the civil works. The perfect kick-off for a successful collaboration, which we will also continue in the field of industry and recycling technology. With new recycling installations, we will from now on also (re)construct buildings, if required

Within the industrial sector, whether this concerns the offshore, wind, water purification or food industry, we deploy both our design knowledge from Emmen and the extensive production capabilities of Emmen and Heeg. There is also design knowledge in mechanical engineering near Emmen at our Vossebelt division in Geesbrug. Here, too, there are opportunities to share knowledge and develop machines together in the future.

We want to further formalise our management system with which we manage risks and seize opportunities, and have it certified. In addition to our current group system of ISO 14001 (environment), we want to combine at group level the various systems at company level, such as ISO 9001 and VCA**. Furthermore, we are determined to have our safety policy certified further.

As in previous years, GB Steel Group has a healthy order book. We are grateful to our clients for their confidence in us. We can build data centres, high-voltage substations and car parks to our heart’s content. Vossebelt’s tippers and containers are also frequently purchased; the planning for 2020 is almost full. Although hydraulic engineering is still struggling, regular clients from the industry appreciate Nauta Heeg for its flexibility and extensive possibilities and expertise in production technology. Finally, MF Emmen also started the year with a good order book, mainly with large orders in recycling technology. There are also indications that the infrastructure will continue to pick up.

We regard our sound starting position as a confirmation of our hard work. But at the same time we remain level-headed, because we see that there is still a lot of potential. In 2018, we planned for three years, about which we have spoken frankly for example in these annual reports. We are determined to continue working on the implementation of these plans and also to further broaden our horizon with new strategic plans. We would be happy to do that together with you, whenever it is convenient for you. Our future is infinite, there is still time.
